Job Description
A fantastic newly created opportunity for a qualified Company Secretary to join the Board Management Team of a leading UK service provider. In the role, you will support and advise organisations on governance and secretariat issues and you will get the opportunity to be involved in bespoke projects.
Responsibilities:
- Provide advice and support to clients to develop their corporate governance policies and procedures.
- Maintain the company’s statutory registers and records, encompassing the register of shareholders, directors and other relevant documentation.
- Assist the organisation of Board meetings, including agendas, materials and taking minutes.
- Ensure that the Board’s decisions are properly communicated and implemented.
- Ensure compliance of clients with legal and regulatory requirements.
- Monitor changes in legislation, updating the board and management teams on any impactful developments.
- Manage communications with shareholders, including facilitating the exercise of shareholders’ rights.
- Handle matters related to share transfers, dividends and other corporate actions.
- Lead projects and initiatives in support of the Board Management Services business plan.
Experience & Qualifications:
- Qualified Chartered Governance Professional or similar qualification.
- At least 5 years of relevant experience working within a corporate environment.
- Experience with regulated organisations is essential for this opportunity.
- Alternative investment market experience would be beneficial for this role.
- Strong interpersonal, analytical and presentation skills.
- Excellent communication skills.
- Strong minute-taking ability.
